Please review these Terms carefully before using NPOTax.com, its tools, or document portals. NPOTax.com is operated by Vanguard Apex Tax Group, LLC.

1. No Practitioner-Client Relationship Formed by Initial Upload

Accessing our website, submitting a form, or uploading tax notices does not create a formal CPA-client, Enrolled Agent-client, fiduciary, or attorney-client relationship. A professional relationship begins only after a conflict check, official Scope of Engagement, signed Engagement Letter, and any required deposit are confirmed.

2. Not Affiliated with Government Agencies

NPOTax.com and Vanguard Apex Tax Group, LLC are independent, privately owned commercial services operated by tax professionals. We are not affiliated with, endorsed by, or an agency of the IRS, U.S. Treasury, or any state revenue department.

3. Portal Use & User Responsibilities

You agree that you are authorized to submit uploaded documents and that information is authentic and unaltered. Do not upload malware, executable programs, or unauthorized third-party personal data. Uploading a letter does not stop IRS collection actions, interest, deadlines, or Tax Court countdowns.

4. Scope of Online Estimates

Preliminary quotes are non-binding estimates based on submitted documents. If later review reveals missing years, undisclosed income, payroll liabilities, or incomplete records, we may revise fees before work begins.

5. Circular 230 Notice

Written tax information on public pages or in preliminary quote emails is not intended or written to be used, and cannot be used by any taxpayer, to avoid penalties under the Internal Revenue Code.

6. Intellectual Property

Content, code, branding, logos, interfaces, layouts, and copy on NPOTax.com and related Vanguard Apex Tax Group properties are proprietary and protected by applicable law. Unauthorized reproduction, extraction, or scraping is prohibited.

7. Limitation of Liability & Warranty Disclaimer

Our website and portals are provided as-is and as-available without warranties. To the fullest extent permitted by Florida law, we are not liable for indirect, incidental, or consequential damages caused by downtime, transmission errors, or third-party delays. Aggregate liability will not exceed fees paid during the preceding 30 days or $100, whichever is greater.

8. Governing Law and Jurisdiction

These Terms are governed by Florida law. Disputes related to these Terms or portal use shall be filed exclusively in state or federal courts located in Florida.

9. Modifications to Terms

We may modify these Terms at any time. Continued use following posted updates constitutes acceptance of the revised Terms.

10. SMS Messaging Terms
